Job Description

Position’s Objective & Summary:

The Contract Negotiator acts as a key stakeholder in commercial contracting with respect to Intuitive’s salesforce, management, other departments and customers. The Contract Negotiator performs a full spectrum of contracts administration tasks including drafting, negotiation and administration of commercial contracts at a high professional level in a high pressure environment under tight deadlines. The Contract Negotiator further takes a key role in project initiatives and contributes to the department’s and Intuitive’s development.


Responsibilities:

  • Responsible for drafting, reviewing, and negotiating various commercial agreements with high-complexity (including sales and leasing contracts) for the placement of Intuitive’s products and services, as well as miscellaneous agreements connected to Intuitive’s commercial activities. Also responsible for digital and data agreements, along with Business Associate Agreements as required under HIPAA.
  • Analyze contractual terms and policies to ensure compliance with company policy, government regulations, revenue recognition, and other requirements.
  • Participate in process and policy development regarding commercial contracts.
  • Advise management on legal and related risks regarding commercial transactions and assist business decision-making processes.
  • Lead discussions and aim at finding solutions with administrators, purchasing personnel, attorneys representing Intuitive Surgical’s customers as well as with financing institutions and other stakeholders involved in commercial processes.
  • Work closely with Intuitive Surgical’s Legal, Sales, Customer Service, Accounting, and Logistics teams on the system sales process and with Marketing, Clinical Affairs, and Market Access on further contractual activities.
  • Maintain contractual information in Intuitive Surgical’s contract administration databases.

Qualifications

Required Knowledge, Skills, and Experience:

  • Minimum Law degree or minimum equivalent experience.
  • Minimum 2 - 5 years of prior experience with commercial contracts and with negotiating commercial and legal terms and conditions or equivalent transferrable skillset.
  • Strong interest in commercial transactions, financial activities, and business decisions. Readiness and enthusiasm to work hand-in-hand with highly-active and intense salesforce.
  • Detail oriented, organized, and able to function in a fast-paced, high-pressure environment.
  • Excellent verbal and written communication skills (including legal drafting skills).
  • Proactive and able to work independently.
  • Working knowledge of standard legal terms and conditions. Preferred knowledge of commercial contracting terms, HIPAA, data security, and/or data privacy regulations.
  • Able to manage multiple projects simultaneously.

Disclaimer:

We provide market-competitive compensation packages, inclusive of base pay, incentives, benefits and equity, and the anticipated pay rate for this position is $94,300 to $135,700. It would not be typical for someone to be hired at the top end of range for the role, as actual pay will be determined based on several factors, including location, skills, and experience level.
